TERMS OF SERVICE
My Instant Replay • Rookie 2 Recruit
Effective Date: May 5, 2026
PLEASE READ CAREFULLY: These Terms of Service constitute a legally binding agreement between you and Rookie 2 Recruit, LLC. By creating an account or using either platform, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must not use our platforms.
1. About Rookie 2 Recruit, LLC
Rookie 2 Recruit, LLC ("Company," "we," "our," or "us") is the parent company of two complementary digital platforms serving athletic families across America:
My Instant Replay — a subscription-based youth athletic memory and milestone platform where parents and guardians preserve and share their child's athletic journey from their earliest games onward.
Rookie 2 Recruit — a subscription-based college recruiting education platform that empowers student-athletes and their families to navigate the college recruiting process with confidence.
These Terms govern your access to and use of both platforms, our websites, mobile applications, and all related services, content, and features (collectively, the "Services"), including our Combine events.
2. Eligibility & Age Requirements
Minimum Age: You must be 18 years of age or older to create an account on either platform. You must be at least 13 years of age to use either platform. Individuals under the age of 13 are strictly prohibited from accessing or using our Services in any capacity, for any purpose, at any time.
By creating an account, or by allowing a minor to use the Services under an account, you represent and warrant that:
You are at least 18 years of age and are creating the account in your own name;
You have the legal capacity to enter into a binding contract;
Your use of the Services is not prohibited by applicable law in your jurisdiction;
All information you provide during registration is accurate, complete, and current; and
You will maintain the accuracy of your information and update it as necessary.
Parents and guardians who are 18 or older may create accounts to document their child athlete's journey on My Instant Replay or to manage their student-athlete's recruiting process on Rookie 2 Recruit. In doing so, you represent that you are the parent or legal guardian of the athlete whose information you are providing.
2A. Minor Users (Ages 13–17) — Parental Authorization & Full Liability
Individuals between the ages of 13 and 17 may use the Services only under an account created by a parent or legal guardian who is 18 years of age or older. A minor may not create their own account. By allowing a minor to use the Services under your account, you, as the parent or legal guardian, expressly and irrevocably agree to the following:
You have read, understood, and agreed to these Terms and the Privacy Policy on behalf of yourself and the minor;
You accept full, sole, and unconditional legal responsibility and liability for all activity conducted by the minor under your account, including all content submitted, all purchases made, and all conduct that may violate these Terms;
You consent to the collection, use, and processing of the minor's personal information as described in these Terms and the Privacy Policy;
You agree to supervise and monitor the minor's use of the Services at all times and to ensure the minor's compliance with these Terms; and
You agree to indemnify and hold harmless Rookie 2 Recruit, LLC from any and all claims, losses, liabilities, damages, costs, and expenses — including reasonable attorneys' fees — arising out of or relating to the minor's use of the Services.
The Company bears no responsibility whatsoever for any harm, loss, or damage arising from a minor's use of the Services. All such responsibility rests solely and entirely with the parent or legal guardian account holder. The Company's liability to a minor user, or arising from a minor's use of the Services, is expressly limited to the maximum extent permitted by applicable law.
2B. Children Under 13 — Strictly Prohibited
Individuals under 13 years of age are absolutely prohibited from using or accessing either platform for any purpose at any time. We do not knowingly collect personal information from children under 13 as platform users. If we discover that a child under 13 is using or has accessed the Services in any capacity, we will immediately terminate all such access, permanently delete any associated account and data, and take all measures necessary to prevent future access, without notice, without refund, and without any liability to any party.

3. Account Registration & Security
To access our Services, you must register for an account. You agree to:
Provide accurate, complete, and truthful information during registration and at all times thereafter;
Maintain the confidentiality of your login credentials and not share them with any other person;
Use only one account per individual;
Not create accounts using automated means or under false pretenses;
Notify us immediately at support@rookie2recruit.com if you become aware of any unauthorized access to or use of your account; and
Accept full responsibility for all activity that occurs under your account, whether authorized by you or not.
Accounts are non-transferable. You may not sell, assign, or transfer your account or any rights under these Terms to any third party. The Company reserves the right to require additional identity verification at any time.
4. Subscriptions, Pricing & Payments
4A. Subscription Plans & Current Pricing
Access to the full features of our platforms requires a paid subscription. Current pricing is as follows:
My Instant Replay: $9.95/month or $60/year
Rookie 2 Recruit: $19.95/month or $150/year
Discounts may be available at the Company's sole discretion. Not all users or accounts will qualify for discounted pricing. The availability of a discount for one subscriber does not obligate the Company to offer the same discount to any other subscriber.
Pricing is subject to change with 30 days' written notice. Continued use of the Services after a price change takes effect constitutes your acceptance of the new pricing.
4B. Trial Memberships – Combine Event Participants
The registration fee for a Rookie 2 Recruit, LLC Combine event covers two things: participation in the Combine event itself and a one-year limited platform profile beginning on the date of the Combine.
One-Year Limited Profile. Each Combine participant receives a one-year limited profile on one platform of their choice — My Instant Replay or Rookie 2 Recruit — at no additional charge. The limited profile includes the participant's Combine performance data and results and is active for twelve (12) months from the date of the participant's Combine event. No membership or subscription is required to maintain limited profile access during this period.
30-Day Complimentary Trial Membership. In addition to the one-year limited profile, each participant receives a 30-day complimentary trial membership to their selected platform. The trial membership provides access to most all features included of the selected platform during the trial period and is subject to these Terms in all respects (Recruiting Edge reports and podcasts NOT included with Trial Memberships). The 30-day trial runs concurrently with, and is included within, the one-year limited profile period.
Upon expiration of the 30-day trial period, the following terms apply:
Continued full access requires purchase of a monthly or annual subscription at the then-current rate;
If no subscription is purchased, full platform access and all features will be automatically terminated and the account will revert to limited profile access for the remainder of the one-year period;
Trial memberships may not be combined, extended, or redeemed for cash value;
One trial membership per person; duplicate or fraudulent trial redemptions will be terminated without notice.
Expiration and Data Deletion. Upon expiration of the one-year limited profile period, all access to the limited profile will be permanently terminated and all associated Combine performance data will be permanently deleted from the platform. The Company is not responsible for preserving or transferring Combine data after the one-year period expires. Participants who wish to retain their Combine data beyond one year must purchase an active subscription prior to the expiration of their one-year limited profile period.
4C. Payment Processing
All payments are processed securely through Stripe, PayPal, or other authorized third-party payment processors. By providing payment information, you authorize the Company to charge your payment method for the selected subscription plan and for all automatic renewals until you cancel. We do not store raw payment card data. Payment data is governed by the applicable processor's terms and privacy policy.
4D. Automatic Renewal
All subscriptions automatically renew at the end of each billing period (monthly or annual) unless canceled prior to the renewal date. You are responsible for canceling your subscription before the renewal date if you do not wish to be charged. Renewal charges are non-refundable.
4E. Final Sale Policy — No Refunds
No Refunds: All subscription fees are final and non-refundable. This includes partial billing periods, unused time remaining on a subscription, and annual subscriptions canceled before the end of the subscription year.
The Company does not offer refunds under any circumstances, including but not limited to:
Dissatisfaction with the Services or content;
Failure to cancel before an automatic renewal;
Technical issues or service interruptions not caused by the Company;
Changes to the Services, content, or pricing; or
Account termination or suspension for violations of these Terms.
4F. Chargeback Policy
Important: Initiating a chargeback or payment reversal for any subscription fee is a violation of these Terms and may constitute fraud.
If you initiate a chargeback or payment dispute with your financial institution or payment processor, the Company reserves the right to:
Immediately suspend or permanently terminate your account and all associated access;
Permanently ban you from creating future accounts on any Company platform;
Dispute the chargeback with documentation of your purchase and acceptance of these Terms;
Pursue all available legal remedies to recover amounts owed, including court costs and attorneys' fees.
The proper process for addressing billing concerns is to contact us directly at support@rookie2recruit.com before initiating any payment dispute.
4G. Non-Payment & Account Suspension
If a subscription payment fails, the Company will provide written notice via email to the account holder. The account holder will have fourteen (14) days from the date of notice to cure the payment deficiency ("Cure Period"). If payment is not received within the Cure Period:
Access to platform features, including any recruiting profile or media content, will be suspended;
The account may be permanently deleted at the Company's sole discretion;
No refund will be provided for any prior payments; and
Deleted account content may not be recoverable.
The Company reserves the right to waive or extend the Cure Period at its sole discretion. Any such waiver does not obligate the Company to provide future waivers.
5. Acceptable Use & Prohibited Conduct
You agree to use our Services only for their intended, lawful purposes. The following conduct is strictly prohibited:
5A. General Prohibitions
Using the Services for any unlawful, fraudulent, harmful, abusive, or deceptive purpose;
Impersonating any person, entity, or organization, or misrepresenting your affiliation with any person or entity;
Submitting false, misleading, inaccurate, defamatory, obscene, harassing, or offensive content;
Posting or transmitting content that violates any third party's intellectual property, privacy, or other rights;
Sharing, selling, or transferring your account credentials to any other person;
Creating multiple accounts for the same individual or household to circumvent subscription requirements;
Using the Services to advertise or solicit other users without the Company's express written consent;
Using the Services to collect, harvest, or compile information about other users without their consent.
5B. Technical Prohibitions
Attempting to gain unauthorized access to any part of the Services, other user accounts, or the Company's systems or networks;
Reverse engineering, decompiling, disassembling, or attempting to derive the source code of any software underlying the Services;
Using automated tools, bots, scrapers, crawlers, or scripts to access or extract data from the Services;
Uploading, transmitting, or distributing any virus, malware, or other harmful code;
Attempting to disable, overburden, or impair the infrastructure of the Services;
Circumventing, disabling, or interfering with any security or access control features of the Services.
5C. Content Prohibitions on My Instant Replay
Uploading images, videos, or content depicting individuals in a manner they have not consented to;
Sharing Family Profile access with individuals who are not family members or explicitly authorized viewers;
Using media content from My Instant Replay for any commercial purpose without prior written consent from the Company;
Uploading content that is sexually explicit, violent, or otherwise inappropriate.
The Company reserves the right, but is not obligated, to review, monitor, remove, or disable access to any content that violates these Terms, at its sole discretion and without notice or liability.
5D. Team/Organization-Based Sharing Feature — My Instant Replay
My Instant Replay offers an optional Team/Organization Sharing feature that allows parents and guardians of registered account holders within the same team/organization group ("Team/Organization Sharing") to collectively upload and view photos and videos within that team's/organization's shared space. By enabling or participating in Team/Organization Sharing, you agree to the following:
Eligibility: Only parents or guardians who have been verified by the Team/Organization Administrator as legitimate parents or guardians of active, rostered athletes within the team or organization may access that team's/organization's shared content. Where a team (e.g., "Cardinals") operates under a parent organization (e.g., "Hershey Youth Baseball"), all Administrator-verified members across all teams within that organization are treated as part of the same shared group. Team/Organization membership is determined, managed, and verified exclusively by the Team/Organization Administrator through the platform. The Company does not independently verify the identity, parentage, or guardianship status of any group member. The Company reserves the right to revoke team/organization access at any time, at its sole discretion, but has no obligation to do so and bears no liability for failing to do so.
Consent Obligation: By uploading content to the Team/Organization Sharing space, you represent and warrant that you have obtained all necessary consents — including from the parents or guardians of any child under 18 depicted in the content — prior to uploading. You are solely and exclusively responsible for obtaining all such consents. The Company bears no liability whatsoever for any failure to obtain consent and shall be fully indemnified by the uploading account holder for any claims arising therefrom.
Content Standards: All content uploaded to the Team/Organization Sharing space is subject to the content prohibitions in Section 5C and all other applicable provisions of these Terms. Content that is sexually explicit, violent, harassing, defamatory, or otherwise inappropriate is strictly prohibited and may result in immediate account termination without refund.
Limited Scope of Sharing: Team/Organization Sharing content is accessible only to members who have been verified by the Team/Organization Administrator of that team/organization group on the platform. You may not share, distribute, or transmit Team/Organization Sharing content outside the platform or to any individual who has not been verified by your Team/Organization Administrator as a member of your team/organization group.
No Commercial Use: Team/Organization-shared content may not be used for any commercial purpose, advertising, marketing, or redistribution of any kind without the prior written consent of all depicted individuals and the Company.
Opt-Out: Participation in Team/Organization Sharing is entirely voluntary. Any account holder may opt out at any time through their account settings or by contacting support@rookie2recruit.com. Upon opting out, the account holder's content will no longer be visible to other team/organization members, and other team/organization members' content will no longer be visible to that account holder. Opting out of Team/Organization Sharing does not affect the account holder's individual account, content, or any other platform features.
Company Not Liable for Team/Organization Member Conduct: The Company is not responsible for the content uploaded by other team/organization members, nor for how other team/organization members use, download, screenshot, or otherwise handle content within or outside the platform. All responsibility for the conduct of any team/organization member rests solely with that individual account holder.
Modification or Removal of Feature: The Company reserves the right to modify, suspend, or discontinue the Team/Organization Sharing feature at any time, with or without notice, and without liability to any party.
5E. Content Depicting Other Families' Children — Depicted Minor Protections
The Team/Organization Sharing feature creates a privacy situation that extends beyond the relationship between the platform and its account holders. When an account holder uploads content depicting a child who is the minor dependent of another account holder — or of a family not registered on the platform at all — that child's image and personal data are collected and stored by the Company. We refer to such children as "Depicted Minors." This section governs the specific rights and obligations of all parties in that situation. These provisions supplement and do not replace any other applicable provision of these Terms or the Privacy Policy.
Uploader Obligations: By uploading content to the Team/Organization Sharing space that depicts a Depicted Minor, you represent, warrant, and irrevocably agree that:
You have obtained express consent from the parent or guardian of each Depicted Minor prior to upload, and you understand that your consent representation is the mechanism by which the Company satisfies its COPPA obligations with respect to that child's data;
You will not upload content depicting a Depicted Minor if you have any reason to believe the parent or guardian of that minor would object to such sharing; and
You accept full, sole, and exclusive liability for any claims, damages, regulatory penalties, or other consequences — including FTC enforcement actions — arising from your failure to obtain appropriate consent from the parent or guardian of any Depicted Minor, and you agree to indemnify and hold harmless the Company for all such claims and any associated costs, penalties, and attorneys' fees.
Viewer Obligations: By accessing Team/Organization Sharing content that depicts a Depicted Minor, you assume affirmative and binding obligations. You agree that:
Your access to content depicting another family's child is for the sole purpose of viewing shared athletic memories within the closed team/organization group, and for no other purpose;
You will not download, screenshot, screen-record, copy, or otherwise capture content depicting a Depicted Minor without the express consent of that minor's parent or guardian;
You will not share, distribute, transmit, post, or otherwise disseminate content depicting a Depicted Minor outside the platform or to any person who has not been verified by your Team/Organization Administrator as a member of your registered team/organization group, without the express consent of that minor's parent or guardian; and
You accept sole liability for any off-platform use, distribution, or sharing of content depicting a Depicted Minor and agree to indemnify and hold harmless the Company for any claims arising therefrom.
Depicted Minor Removal Right: Any parent or guardian who believes content depicting their child has been uploaded to the Team/Organization Sharing space without appropriate consent may request removal by contacting support@rookie2recruit.com. The Company will use commercially reasonable efforts to remove such content from the platform within five (5) business days of a valid, verified request. Requests should include sufficient identifying information to locate the content. The Company is not responsible for content that has already been downloaded, captured, or shared off-platform prior to its removal.
No Company Liability for Off-Platform Distribution: Once any team/organization member downloads, screenshots, or otherwise captures content from the shared space, the Company has no ability to control or monitor how that content is used, shared, or distributed off-platform. The Company bears no liability whatsoever for off-platform distribution of content by any team/organization member, whether or not such distribution violates these Terms. Each account holder is solely and exclusively responsible for their own use of content accessed through the Team/Organization Sharing feature, including any off-platform distribution.
Indemnification Specific to Depicted Minor Claims: You agree to defend, indemnify, and hold harmless Rookie 2 Recruit, LLC and its members, managers, officers, employees, affiliates, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses — including reasonable attorneys' fees — arising out of or relating to: (a) your upload of content depicting a Depicted Minor without obtaining appropriate consent; (b) any claim by a Depicted Minor's parent or guardian arising from content you uploaded; (c) any off-platform distribution by you of content depicting a Depicted Minor; or (d) any violation of COPPA or applicable state privacy laws arising from your actions with respect to content depicting Depicted Minors.
5F. Athlete Profile Access & Visibility — Rookie 2 Recruit
The Rookie 2 Recruit platform is purpose-built to connect student-athletes with college and university programs. The athlete's account details and athlete profile are not solely visible to the athlete. Depending on role and authorization level, the following parties may access the athlete's profile and account information. Full data privacy terms governing profile access are set forth in Section 6 of our Privacy Policy.
The Athlete: The student-athlete has full access to their own profile and account details at all times.
Parents or Guardians: Parents or legal guardians associated with the athlete's account have full access to the athlete's profile and account details.
High School Coach: The athlete's current high school coach, upon verification and authorization through the platform, may access the athlete's full profile and may view and add notes to the athlete's profile. Notes added by a coach are visible to all authorized profile viewers, including any college or university coaches with whom the profile has been shared.
Club or Organization Coach: The athlete's club or organization coach, upon verification and authorization through the platform, may access the athlete's full profile and may view and add notes to the athlete's profile. Notes added by a coach are visible to all authorized profile viewers, including any college or university coaches with whom the profile has been shared.
College or University Coaches and Staff: When an athlete or their parent or guardian chooses to share the athlete's profile with a college or university program, the designated coaching staff and relevant athletic department personnel at that institution may access the athlete's full profile. This includes, but is not limited to, academic records, GPA, test scores, athletic statistics, performance data, video highlights, Combine results, coach notes, and any other information contained within the profile. The purpose of the Rookie 2 Recruit athlete profile is to provide college coaches and their staff with the complete and comprehensive information needed to evaluate an athlete and make an informed recruiting decision — whether to pursue or pass on the athlete. Profile sharing with a college or university program is controlled entirely by the athlete, their parent or guardian, any high school coach, club or organization coach who has access to the student-athlete's profile.
Coach Notes: Authorized coaches — including the athlete's current high school coach and club or organization coach — may view the athlete's full profile and add notes directly to the profile. These notes may include performance observations, character assessments, coachability ratings, and any other information the coach deems relevant to the athlete's recruiting profile. Coach notes are part of the athlete's profile record and are visible to all authorized parties, including any college or university coaches with whom the profile has been shared. By creating an account or authorizing use of the platform for a student-athlete, the athlete and their parent or guardian acknowledge and consent to the inclusion of coach notes as part of the athlete's recruiting profile. The Company is not responsible for the content of coach notes, which are solely the responsibility of the coach who submitted them.
5G. Team/Organization Administrator — Designation, Obligations, and Liability
Each team or organization that activates the Team/Organization Sharing feature on My Instant Replay must designate at least one individual as a Team/Organization Administrator (the "Administrator"). The Administrator is a parent, guardian, coach, league official, or other organization representative designated by and accountable to the team or organization. The Administrator is not an employee, agent, contractor, or representative of Rookie 2 Recruit, LLC, and the Company assumes no responsibility for any act or omission of any Administrator. By accepting the Administrator role through the platform, the Administrator agrees to be bound by all obligations set forth in this Section 5G in addition to all other obligations applicable to them as an individual account holder.
Administrator Verification Obligations: The Administrator is solely, exclusively, and non-delegably responsible for verifying the identity and eligibility of every person admitted to the team/organization group on the platform. This verification is the single most critical function of the Administrator role. The Administrator's verification of a member is the mechanism by which the Company satisfies its obligations regarding group membership — the Company relies entirely on the Administrator's judgment and action. Specifically, the Administrator agrees to:
Confirm, before granting platform access, that each person requesting to join the group is a legitimate parent or legal guardian of an athlete who is an active, rostered member of the team or organization at the time access is granted;
Promptly remove any member from the group within five (5) days of that person's child leaving the team or organization for any reason, including voluntary departure, dismissal, or transfer;
Remove any member immediately if the Administrator has any reason to believe that person is not a legitimate parent or guardian of an active team or organization member, regardless of how that person gained access to the group;
Maintain current, accurate, and complete group membership at all times during any period the Team/Organization Sharing feature is active; and
Immediately notify Rookie 2 Recruit, LLC at support@rookie2recruit.com upon discovering that any ineligible person has gained or retained access to the group.
Company Not Responsible for Administrator Decisions: Rookie 2 Recruit, LLC provides the technical platform through which the Administrator performs verification and management functions. The Company does not independently verify, audit, review, confirm, or take any responsibility for any verification decision made by any Administrator. The Company does not know, and has no obligation to determine, whether any particular person admitted to a group by an Administrator is in fact a legitimate parent or guardian of an active athlete. The Company's sole role in the Team/Organization Sharing feature is to operate the technical platform. All gatekeeping, verification, and membership management functions rest entirely with the Administrator. The Company bears no liability for the Administrator's failure to perform these functions correctly, timely, or at all.
Administrator Liability: The Administrator accepts full, sole, and exclusive liability for all consequences arising from their performance or non-performance of their verification and membership management obligations under this Section, including but not limited to:
Any harm, claim, loss, damage, or privacy violation arising from the Administrator's admission of any ineligible person to the group, regardless of whether that ineligibility was known or should have been known to the Administrator at the time of admission;
Any COPPA violation, FTC enforcement action, or other regulatory consequence arising from improperly verified or unverified group membership;
Any claim by any group member, or by the parent or guardian of any Depicted Minor, arising from the Administrator's failure to properly vet, verify, or remove any group member; and
Any failure to remove a former member in a timely manner, resulting in that person retaining access to content depicting current members' children.
Administrator Indemnification: The Administrator agrees to defend, indemnify, and hold harmless Rookie 2 Recruit, LLC and its members, managers, officers, employees, affiliates, and agents from and against any and all claims, damages, losses, liabilities, regulatory fines or penalties, costs, and expenses — including reasonable attorneys' fees — arising out of or in connection with: (a) the Administrator's admission of any ineligible person to the group; (b) the Administrator's failure to properly verify any group member; (c) the Administrator's failure to timely remove any group member whose child has left the organization; (d) any COPPA violation or FTC enforcement action arising from improperly verified group membership; or (e) any claim by any group member or third party arising from the Administrator's performance or non-performance of their obligations under this Section. This indemnification obligation is in addition to, and does not replace or limit, any indemnification obligation the Administrator has as an individual account holder under Section 14 of these Terms.
No Warranty as to Administrator Performance: The Company makes no representation or warranty that any Administrator will perform their verification and membership management responsibilities correctly, completely, or at all. Account holders who participate in Team/Organization Sharing do so with full knowledge that member verification is the responsibility of the Administrator — a fellow community member designated by the organization — and not of the Company. Participation in Team/Organization Sharing constitutes each account holder's express acknowledgment and acceptance of this arrangement.
6. Intellectual Property
All content, software, technology, data, logos, trademarks, trade names, service marks, and other intellectual property made available through the Services ("Company IP") are owned exclusively by Rookie 2 Recruit, LLC or its licensors. Company IP is protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms and payment of applicable subscription fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your personal, non-commercial purposes. This license does not include the right to:
Copy, reproduce, distribute, or publicly display any Company IP;
Modify, adapt, translate, or create derivative works based on Company IP;
Sublicense, sell, resell, transfer, assign, or otherwise exploit any Company IP;
Remove or alter any copyright, trademark, or other proprietary notices; or
Use any Company IP for any commercial purpose or in any way not expressly permitted by these Terms.
Any use of Company IP not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other applicable laws, potentially resulting in civil or criminal liability. The Company actively enforces its intellectual property rights.
Expert reports, podcast content, and Q&A session materials available through Rookie 2 Recruit are proprietary content of the Company and are licensed solely for personal educational use by the subscribing account holder. Redistribution, reproduction, resale, or sharing of this content in any form is strictly prohibited.
7. User-Submitted Content & Content License
7A. Ownership of User Content
You retain ownership of any photos, videos, statistics, notes, and other original content you upload or submit to the Services ("User Content"). By uploading User Content, you represent and warrant that:
You own all rights to the User Content or have obtained all necessary permissions, licenses, and consents from all individuals depicted in or associated with the content, including consents from parents or guardians of any minors depicted;
The User Content does not infringe any third party's intellectual property, privacy, publicity, or other rights;
The User Content complies with these Terms and all applicable laws; and
You have the right to grant the license described below.
7B. License Granted to the Company
By uploading User Content to the Services, you grant Rookie 2 Recruit, LLC a limited, worldwide, royalty-free, non-exclusive license to host, store, transmit, display, and reproduce your User Content solely to the extent necessary to operate, maintain, and improve the Services and to provide the Services to you, your authorized Family Profile viewers, and — if you have enabled Team/Organization Sharing — to parents and guardians verified by your Team/Organization Administrator within your registered team/organization group on My Instant Replay.
This license does not permit the Company to use your User Content for advertising, marketing, or commercial purposes without your express written consent. This license terminates upon your deletion of the applicable content or closure of your account, subject to reasonable backup and retention periods.
7C. Responsibility for User Content
You are solely responsible for all User Content you submit. The Company does not endorse, verify, or assume any liability for User Content. You agree to indemnify and hold the Company harmless from any claims, damages, or liabilities arising from your User Content, including any claims that your User Content infringes a third party's rights or violates applicable law.
7D. Content Removal
The Company reserves the right, but not the obligation, to review, screen, remove, edit, or disable any User Content at its sole discretion and without notice or liability if the Company believes, in its sole judgment, that such content violates these Terms or is otherwise objectionable or harmful. Removed content may not be recoverable.
8. Live Q&A Sessions — Recording Prohibition
Strict Prohibition: Recording, capturing, streaming, reproducing, distributing, or sharing any portion of a live Q&A session in any format or through any means is strictly prohibited without the Company's prior written consent.
Rookie 2 Recruit hosts live Q&A sessions with recruiting experts as part of the subscription service. These sessions are proprietary content of the Company and are provided exclusively for the personal, real-time educational benefit of subscribing account holders. Specifically, you agree that you will not:
Audio or video record any live Q&A session by any means;
Take screenshots or screen recordings during any live Q&A session;
Transcribe, summarize for redistribution, or share session content with non-subscribers;
Post or distribute any portion of Q&A session content on social media, websites, or any other platform; or
Resell or commercialize Q&A session content in any way.
Violation of this section constitutes a material breach of these Terms and will result in immediate account termination without refund. The Company reserves the right to pursue all available legal remedies for violations of this section, including claims for copyright infringement and breach of contract.
9. Combine Events
Rookie 2 Recruit, LLC produces and operates athletic Combine events. By registering for or participating in a Combine event, you agree to the following additional terms:
All registrants and account holders must be 18 years of age or older. Parents and guardians may register on behalf of their child athletes.
Athletic performance data collected at Combine events is measured by certified performance technology and is governed by applicable terms and policies.
By registering, you consent to the collection, storage, and use of Combine performance data as described in our Privacy Policy.
Combine participation fees are non-refundable. If an event is canceled by the Company, participants will receive credit toward a future event.
The Company is not responsible for personal injury, property damage, or any other harm arising from physical participation in Combine events. Participants assume all risk of physical activity.
30-day complimentary trial memberships earned through Combine participation are subject to the trial membership terms in Section 4B and are non-transferable.
The Company reserves the right to use aggregate, anonymized performance data for promotional, marketing, or analytical purposes.
Attendee Release and Waiver of Liability Required. All Combine participants are required to sign an Attendee Release and Waiver of Liability (the "Waiver") prior to participating in any Combine event. No participant will be permitted to participate without a fully executed Waiver on file. The following signing requirements apply:
If the participating athlete is 18 years of age or older, the athlete must sign the Waiver on their own behalf.
If the participating athlete is under 18 years of age, the Waiver must be signed by a parent or legal guardian on behalf of the athlete. The athlete's participation in the event constitutes the parent's or guardian's confirmation that they have read, understood, and agreed to all terms of the Waiver.
Execution of the Waiver is a non-negotiable condition of participation. The Company reserves the right to deny entry to any participant — or the parent or guardian of any minor participant — who fails or refuses to sign the Waiver. No refund will be issued to any participant denied entry due to failure to execute the Waiver.
10. No Guarantee of Recruiting Outcomes
Important Disclaimer: Rookie 2 Recruit, LLC provides educational tools, information, and resources to help athletes and families understand the recruiting process. We do not guarantee any recruiting outcome, scholarship offer, college admission, or athletic placement of any kind.
Specifically, Rookie 2 Recruit, LLC expressly disclaims any guarantee, representation, or warranty regarding:
Recruitment by any college, university, or athletic program;
Receipt of any athletic scholarship, financial aid offer, or financial benefit;
Admission to any academic institution;
A roster spot, walk-on opportunity, or any level of collegiate athletic participation;
Any level of interest from any coach, recruiter, or athletic department; or
Any specific outcome resulting from use of the Services, expert reports, podcast content, Q&A sessions, or Combine performance data.
Recruiting outcomes are influenced by a wide range of factors entirely outside the Company's control, including but not limited to the athlete's abilities, academic performance, physical development, communication efforts, program availability, competitive landscape, timing, and the independent decisions of college coaches and admissions offices.
All content provided through the Services is for educational and informational purposes only and does not constitute legal, financial, academic, or professional advice. Families should consult appropriately licensed professionals for questions regarding NCAA eligibility rules, financial aid, academic planning, or legal decisions.
By using the Services, you acknowledge and agree that your recruiting process and outcomes are solely your own responsibility, and that Rookie 2 Recruit, LLC bears no liability for results achieved or not achieved through use of the Services.
11. Termination & Suspension
11A. Termination by the Company
The Company reserves the right, in its sole and absolute discretion, to suspend, restrict, or permanently terminate your access to the Services at any time, with or without notice, and without liability to any party, for any reason, including but not limited to:
Violation of any provision of these Terms;
Fraudulent, abusive, or unlawful conduct;
Failure to pay subscription fees;
Initiation of a chargeback or payment dispute;
Account inactivity for an extended period;
Any conduct the Company deems harmful to other users, the Company, or third parties; or
Any reason the Company, in its sole discretion, deems appropriate to protect the integrity and safety of the Services.
11B. Effect of Termination
Upon termination of your account for any reason:
Your license to access and use the Services terminates immediately;
Your account and all associated data, including media content on My Instant Replay, may be permanently deleted at the Company's discretion and may not be recoverable;
No refunds will be provided for any unused portion of a subscription;
You remain bound by all provisions of these Terms that by their nature survive termination, including Sections 5, 6, 7, 10, 12, 13, 14, 15, 16, 17, 18, and 19; and
The Company reserves the right to pursue any and all available legal remedies for violations of these Terms.
11C. Cancellation by User
You may cancel your subscription at any time through the account cancellation process on the applicable platform or by contacting support@rookie2recruit.com. Cancellation takes effect at the end of the then-current billing period. No refunds are provided for any unused time remaining in a billing period. Following cancellation, your account will remain accessible until the end of the paid period, after which access will terminate.
12. Disclaimers — No Warranties
AS IS: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
Without limiting the foregoing, Rookie 2 Recruit, LLC expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:
Any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement;
Any warranty that the Services will meet your requirements or expectations;
Any warranty that the Services will be uninterrupted, timely, secure, or error-free;
Any warranty regarding the accuracy, completeness, reliability, or quality of any content, information, data, or materials available through the Services;
Any warranty that defects will be corrected; or
Any warranty arising from course of dealing, course of performance, or usage of trade.
No information or advice, whether oral or written, obtained from the Company or through the Services will create any warranty not expressly stated in these Terms.
13. Limitation of Liability
Maximum Liability Cap: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE TOTAL CUMULATIVE LIABILITY OF ROOKIE 2 RECRUIT, LLC TO YOU FOR ANY AND ALL CLAIMS EXCEED THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO THE COMPANY IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROOKIE 2 RECRUIT, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, PARTNERS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY:
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS;
LOSS OF ATHLETIC OPPORTUNITY, SCHOLARSHIP, OR RECRUITING OUTCOME OF ANY KIND;
COST OF SUBSTITUTE SERVICES;
PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM COMBINE EVENT PARTICIPATION;
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR ACCOUNT OR USER CONTENT; OR
ANY OTHER INDIRECT OR CONSEQUENTIAL LOSS OR DAMAGE,
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent such limitations are not permitted in your jurisdiction, the above limitations apply to the maximum extent permitted by law.
14. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Rookie 2 Recruit, LLC and its members, managers, officers, employees, affiliates, agents, partners, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
Your use of or access to the Services;
Your violation of any provision of these Terms;
Your violation of any applicable law, regulation, or third-party right, including any intellectual property, privacy, or publicity right;
Any User Content you submit, post, upload, or transmit through the Services, including claims that your User Content infringes a third party's rights;
Your failure to obtain appropriate consent from individuals depicted in content you upload to My Instant Replay, including your failure to obtain consent from the parent or guardian of any Depicted Minor (as defined in Section 5E) prior to uploading content depicting that child to the Team/Organization Sharing space; or, if you are acting as a Team/Organization Administrator, your failure to properly verify group membership, your admission of any ineligible person to the group, or your failure to maintain current and accurate group membership, and all claims, regulatory actions, or damages arising therefrom;
Any off-platform download, distribution, sharing, or other use by you of content depicting a Depicted Minor or any other individual, including any claims by that individual's parent or guardian arising from such distribution;
Any violation of COPPA, applicable state privacy laws, or any other law arising from your actions as an uploader or viewer within the Team/Organization Sharing feature;
Any misrepresentation you make in connection with the Services; or
Any dispute between you and any third party arising from your use of the Services.
The Company reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with the Company's defense of such claim. You may not settle any claim subject to this section without the Company's prior written consent.
15. Dispute Resolution — Mandatory Arbitration & Class Action Waiver
Important Legal Notice: This section requires you to resolve most disputes with the Company through individual binding arbitration rather than in court. By accepting these Terms, you waive your right to a jury trial and your right to participate in a class action lawsuit.
15A. Informal Resolution First
Before initiating any formal dispute, you agree to contact us at support@rookie2recruit.com and provide a written description of your claim and the relief sought. The parties will attempt to resolve the dispute informally for a period of thirty (30) days. If the dispute is not resolved within that period, either party may proceed to arbitration as described below.
15B. Binding Arbitration
Except as provided in Section 15D, any dispute, controversy, or claim arising out of or relating to these Terms, the Services, or any breach, termination, or invalidity thereof ("Dispute") will be resolved exclusively through final, binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org.
Arbitration will be conducted on an individual basis. The arbitration will take place in Harrison County, Mississippi, unless the parties mutually agree otherwise or the AAA rules require otherwise. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
15C. Class Action Waiver
Class Action Waiver: YOU AND ROOKIE 2 RECRUIT, LLC EACH WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING OF ANY KIND. All disputes must be brought in your individual capacity only, and not as a plaintiff or class member in any purported class or representative proceeding.
If a court finds this class action waiver unenforceable for a particular claim, that claim must be severed from arbitration and litigated in court, but the class action waiver will remain in full force for all other claims.
15D. Exceptions to Arbitration
The following disputes are exempt from mandatory arbitration and may be brought in a court of competent jurisdiction:
Claims for injunctive or equitable relief to protect intellectual property rights or confidential information;
Claims that may be heard in small claims court within that court's jurisdiction; and
Any claim for which mandatory arbitration is prohibited by applicable law.
16. Governing Law & Jurisdiction
These Terms and any Dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of Mississippi, without giving effect to any choice-of-law or conflict-of-law rules.
To the extent any Dispute is not subject to arbitration under Section 15, you consent to exclusive personal jurisdiction and venue in the state and federal courts located in Harrison County, Mississippi, and waive any objection to such jurisdiction or venue.
17. Force Majeure
The Company will not be liable for any delay, failure, or interruption of the Services resulting from causes beyond the Company's reasonable control, including but not limited to: acts of God, natural disasters, pandemic or public health emergency, war, terrorism, riots, civil unrest, government orders or regulations, labor disputes, power outages, internet or telecommunications failures, denial-of-service attacks, cyberattacks, or failures of third-party service providers.
During such events, the Company may suspend, modify, or limit the Services without notice and without liability to any party.
18. Privacy Policy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference and is available on our websites. By accepting these Terms, you confirm that you have read and agree to the Privacy Policy. In the event of any conflict between these Terms and the Privacy Policy on matters of data privacy, the Privacy Policy will control.
19. DMCA — Copyright Infringement
The Company respects intellectual property rights. If you believe that content on our platforms infringes your copyright, you may submit a notice to our designated agent at support@rookie2recruit.com with the following information:
A description of the copyrighted work you claim has been infringed;
A description of the material you claim is infringing and its location on the platform;
Your contact information (name, address, phone, email);
A statement that you have a good-faith belief the use is not authorized by the copyright owner;
A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf; and
Your physical or electronic signature.
The Company will respond to valid DMCA notices in accordance with applicable law. Repeat infringers will have their accounts terminated.
20. Modification of Services & Terms
The Company reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, and without liability to any party. This includes the right to add or remove features, change content, or alter pricing with 30 days' notice.
The Company may update these Terms at any time. Updated Terms will be posted on our websites with a revised effective date. For material changes, we will provide notice via email. Your continued use of the Services after updated Terms are posted constitutes your acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Services.
21. General Provisions
21A. Entire Agreement
These Terms, together with the Privacy Policy and any other agreements or policies incorporated herein by reference, constitute the entire agreement between you and Rookie 2 Recruit, LLC with respect to the Services and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between the parties regarding the subject matter hereof.
21B. Severability
If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it will be severed from these Terms. The remaining provisions will continue in full force and effect.
21C. Waiver
No failure or delay by the Company in exercising any right, power, or remedy under these Terms will operate as a waiver of that right. No single or partial exercise of any right will preclude any other or further exercise of that right or the exercise of any other right. A waiver of any breach of these Terms will not constitute a waiver of any subsequent breach.
21D. Assignment
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without the Company's prior written consent. Any purported assignment in violation of this section is null and void. The Company may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets, without your consent and without notice.
21E. No Third-Party Beneficiaries
These Terms are for the sole and exclusive benefit of the parties hereto and do not create any rights in, or obligations to, any third party.
21F. Headings
Section headings in these Terms are for convenience only and have no legal or contractual effect.
